These Terms of Service ("Terms") govern your access to and use of the Chai Churi website at chaichuri.com and any related services provided by Chai Churi Inc. ("Chai Churi", "we", "us"). By accessing or using our website, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Chai Churi website at chaichuri.com ("Site"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy and Cookies Policy, which are incorporated herein by reference. If you do not agree, please do not use the Site.

2. Use of the Site

You may use the Site for lawful purposes only and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable local, national, or international law or regulation.

The Chai Churi name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Chai Churi Inc. You may not use them without our prior written consent.

4. Content You Submit

When you submit information through forms on the Site (contact inquiries, franchise enquiries, job applications), you represent that the information is accurate and complete to the best of your knowledge.

You grant Chai Churi a non-exclusive, royalty-free licence to use the submitted information for the purposes described in our Privacy Policy.

5. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Site will be uninterrupted, error-free, or free of viruses or other harmful components.
  • The results obtained from using the Site will be accurate or reliable.
  • Any errors in the Site will be corrected.

Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable consumer protection law in your jurisdiction β€” see Section 6 below.

6. Limitation of Liability and Consumer Rights

TO THE FULLEST EXTENT PERMITTED BY LAW, CHAI CHURI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE.

The following statutory consumer rights and protections apply to users in the jurisdictions listed below and are not affected or reduced by these Terms:

India

Nothing in these Terms affects your rights as a consumer under the Consumer Protection Act, 2019 (India), including your right to seek redress through the National Consumer Disputes Redressal Commission (NCDRC) or applicable State/District Consumer Disputes Redressal Commissions. The Information Technology Act, 2000 and its rules also apply to our electronic operations in India.

Canada

Nothing in these Terms affects your statutory rights as a consumer under applicable Canadian federal and provincial consumer protection legislation, including but not limited to the Competition Act, the Electronic Commerce Protection Act, Quebec's Consumer Protection Act (Loi sur la protection du consommateur), and Ontario's Consumer Protection Act, 2002. In Quebec, any term that purports to limit a consumer's statutory rights is unenforceable to that extent.

United States

In jurisdictions that do not allow the exclusion of certain warranties or the limitation of certain damages, our liability is limited to the maximum extent permitted by applicable state law. Nothing in these Terms is intended to waive any rights available to you under applicable US state consumer protection law.

United Kingdom

Nothing in these Terms affects your rights under the Consumer Rights Act 2015, the Unfair Contract Terms Act 1977, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or any other applicable UK consumer protection legislation. Clauses that would be unfair within the meaning of the Consumer Rights Act 2015 are not binding on you.

Australia

Nothing in these Terms limits or excludes any guarantee, condition, warranty, or right under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot lawfully be excluded. Where our liability for breach of a consumer guarantee cannot be excluded, it is limited to the maximum extent permitted by law, which may include re-supplying the services or paying the cost of having the services re-supplied.

United Arab Emirates

Nothing in these Terms affects any rights available to you under UAE federal consumer protection legislation, including Federal Law No. 15 of 2020 on Consumer Protection and applicable implementing regulations.

European Union

Nothing in these Terms affects your mandatory statutory rights as a consumer under EU law, including Directive 2011/83/EU on consumer rights and any applicable national implementing legislation. Terms that would be unfair within the meaning of Council Directive 93/13/EEC are not binding on you.

7. Third-Party Links

The Site may contain links to third-party websites or services not operated by Chai Churi, including social media platforms, map providers, and franchise reference materials. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. We encourage you to review the privacy policy and terms of any site you visit.

8. Franchise Information Disclaimer

Information on this Site about franchise opportunities is provided for general informational purposes only and does not constitute a franchise offer, solicitation, or recommendation to invest. Franchise offers are made only by means of a formal Franchise Disclosure Document (FDD) and a signed franchise agreement.

Franchise offerings are regulated in many jurisdictions. We will only make franchise offers in jurisdictions where any required registration, disclosure, and other legal prerequisites have been satisfied. In particular:

  • Canada: Franchise disclosure obligations under provincial franchise legislation (including Ontario's Arthur Wishart Act, Alberta's Franchises Act, British Columbia's Franchises Act, Prince Edward Island's Franchises Act, New Brunswick's Franchises Act, and Manitoba's The Franchises Act) apply where Chai Churi franchises are offered in those provinces. Prospective franchisees in those provinces are entitled to a disclosure document as required by law.
  • United States: The Federal Trade Commission Franchise Rule requires delivery of a Franchise Disclosure Document (FDD) to prospective franchisees in the United States. Certain states impose additional registration and disclosure requirements. We will only offer franchises in US states where all applicable requirements are met.
  • Australia: The Franchising Code of Conduct (mandatory industry code under the Competition and Consumer Act 2010) applies to franchise agreements in Australia. Prospective Australian franchisees are entitled to disclosure documents and a cooling-off period as prescribed by the Code.
  • United Kingdom: There is currently no statutory franchise disclosure regime in the UK. Our franchise offerings in the UK are subject to general contract law and consumer protection legislation. Prospective UK franchisees are encouraged to obtain independent legal and financial advice.
  • UAE: Franchise arrangements in the UAE are governed by the UAE Commercial Transactions Law and agency/distribution legislation. Prospective UAE franchisees should obtain independent legal advice regarding local registration and commercial requirements.
  • India: India does not currently have dedicated franchise disclosure legislation. Our franchise arrangements in India are governed by general contract law, competition law, and applicable sector-specific regulations. Prospective Indian franchisees should obtain independent legal and financial advice.

Past performance of existing Chai Churi locations is not a guarantee or projection of future results for any franchise. We recommend that all prospective franchisees consult independent legal and financial advisors before making any investment decision.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India and the State of Punjab, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms or your use of the Site that cannot be resolved informally shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in SAS Nagar (Mohali), Punjab, India.

Notwithstanding the foregoing, the following country-specific provisions apply:

Canada

Canadian consumers may rely on mandatory consumer protection provisions of the applicable province or territory of residence and may bring claims before competent local courts or tribunals, notwithstanding the governing law and arbitration clause above. Quebec residents are entitled to bring consumer protection claims before Quebec courts and benefit from the mandatory application of Quebec consumer protection law.

United States

Residents of the United States may rely on mandatory provisions of applicable US federal and state law. Nothing in these Terms prevents a US consumer from exercising statutory rights available under applicable federal or state consumer protection law in the appropriate US forum.

United Kingdom

UK consumers may rely on the mandatory consumer protection provisions of the law of England and Wales (or Scotland or Northern Ireland as applicable) and may bring claims before UK courts. The governing law and arbitration clause above do not deprive UK consumers of the protection afforded by mandatory UK law.

Australia

Nothing in these Terms limits Australian consumers' rights under the Australian Consumer Law or prevents them from pursuing claims in the appropriate Australian court or tribunal. The governing law and arbitration clause above do not apply to the extent they would deprive Australian consumers of statutory protections.

United Arab Emirates

UAE consumers may rely on mandatory provisions of UAE federal consumer protection and civil law and may bring claims before the competent UAE courts or the relevant consumer protection authority.

European Union

EU consumers may rely on mandatory consumer protection provisions of the law of their member state of residence and may bring claims before their local courts, regardless of the governing law clause above. The EU Online Dispute Resolution platform (available at ec.europa.eu/consumers/odr) may also be available as an alternative dispute resolution mechanism.

10. Changes to These Terms

We may update these Terms at any time to reflect changes in applicable law, our services, or business practices. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by posting a notice on the Site. Your continued use of the Site after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please discontinue using the Site.
